1. ACCEPTANCE OF TERMS
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," or "you") and LawLM, Inc. ("LawLM," "Company," "we," "us," or "our") governing your access to and use of LawLM's artificial intelligence-powered legal technology platform and related services (collectively, the "Services").
By accessing, using, or registering for our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are entering into this Agreement on behalf of a law firm, legal organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. DESCRIPTION OF SERVICES
LawLM provides artificial intelligence-powered services designed specifically for legal professionals, including but not limited to:
- Automated processing and analysis of deposition transcripts
- AI-generated summaries of legal depositions and documents
- Interactive chatbot interfaces for querying deposition content
- Natural language processing tools for legal document analysis
- Search and retrieval capabilities across legal document databases
- Analytics and reporting tools for legal case management
IMPORTANT DISCLAIMER: All AI-generated content, analyses, summaries, and recommendations provided by our Services are for informational purposes only and constitute preliminary research tools. They do not constitute legal advice, legal opinions, or professional legal services. Users must independently verify all AI-generated content and exercise professional judgment in their use of our Services.
3. PROFESSIONAL USE AND LIMITATIONS
3.1 Professional Responsibility
You acknowledge and agree that:
- You are solely responsible for all professional decisions made based on or influenced by our Services
- You must review, verify, and validate all AI-generated content before relying upon it in any professional capacity
- Our Services are tools to assist legal professionals and do not replace human judgment, legal expertise, or professional due diligence
- You remain bound by all applicable rules of professional conduct, ethical obligations, and legal requirements governing your profession
3.2 AI Technology Limitations
You understand and acknowledge that artificial intelligence technology has inherent limitations, including but not limited to:
- Potential for errors, inaccuracies, or misinterpretations in AI-generated content
- Inability to provide legal advice or replace human legal expertise
- Limitations in understanding context, nuance, or complex legal reasoning
- Potential biases inherent in AI training data or algorithms
4. ACCOUNT REGISTRATION AND ELIGIBILITY
To access our Services, you must register for an account and provide accurate, current, and complete information. You represent and warrant that:
- You are a licensed attorney, legal professional, or authorized representative of a legal organization
- All registration information you provide is truthful, accurate, and complete
- You will maintain the accuracy of such information
- You have the legal capacity and authority to enter into this Agreement
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
5. DATA SECURITY AND CONFIDENTIALITY
5.1 Client Data Protection
We understand the sensitive and confidential nature of legal documents and information. We maintain industry-standard security measures to protect your data, including:
- End-to-end encryption for data transmission and storage
- Secure cloud infrastructure with regular security audits
- Access controls and authentication protocols
- Employee confidentiality agreements and training
5.2 Attorney-Client Privilege
You acknowledge that uploading or processing documents through our Services may impact attorney-client privilege or work product protections. You are solely responsible for determining whether such uploading or processing is appropriate and for taking necessary steps to preserve any applicable privileges.
5.3 Data Retention
We retain your data only as long as necessary to provide our Services or as required by law. You may request deletion of your data in accordance with our Privacy Policy, subject to applicable legal and regulatory retention requirements.
6. ACCEPTABLE USE POLICY
You agree to use our Services only for lawful purposes and in compliance with all applicable laws, regulations, and professional rules. You shall not:
- Upload, process, or transmit any illegal, fraudulent, or unauthorized content
- Attempt to circumvent, disable, or interfere with security features of our Services
- Use our Services to violate any third-party rights, including intellectual property rights
- Engage in any activity that could damage, disable, or impair our Services
- Use automated scripts or bots to access our Services without authorization
- Share your account credentials with unauthorized persons
7. INTELLECTUAL PROPERTY RIGHTS
7.1 LawLM Property
Our Services, including all software, algorithms, technology, content, and intellectual property rights therein, are owned by LawLM and protected by copyright, trademark, patent, and other intellectual property laws.
7.2 User Content
You retain all rights to your uploaded documents and data. By using our Services, you grant us a limited, non-exclusive license to process your content solely to provide our Services to you.
7.3 AI-Generated Content
AI-generated summaries, analyses, and other content created by our Services are provided to you for your use, but LawLM retains no ownership rights in such content. However, you acknowledge that similar content may be generated for other users based on our AI technology.
8. BILLING, PAYMENT, AND SUBSCRIPTION TERMS
Our Services are provided on a subscription basis with various pricing tiers. By subscribing, you agree to:
- Pay all fees and charges associated with your selected subscription plan
- Provide accurate and current billing information
- Authorize automatic renewal of your subscription unless cancelled
- Comply with our payment terms and billing policies
We reserve the right to modify our pricing with thirty (30) days' written notice. Fees are non-refundable except as expressly provided in our refund policy or required by applicable law.
9. DISCLAIMERS AND WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WE DO NOT WARRANT THAT OUR SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR SECURE
- WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED CONTENT
- WE DISCLAIM ANY WARRANTIES REGARDING THE RESULTS OR OUTCOMES OF USING OUR SERVICES
10. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- LAWLM'S TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO LAWLM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
- IN NO EVENT SHALL LAWLM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- WE SHALL NOT BE LIABLE FOR ANY PROFESSIONAL LIABILITY, MALPRACTICE CLAIMS, OR DAMAGES ARISING FROM YOUR PROFESSIONAL SERVICES
- WE SHALL NOT BE LIABLE FOR ANY LOSS OF DATA, PROFITS, BUSINESS OPPORTUNITIES, OR REPUTATION
11. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless LawLM and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your professional services or advice provided to your clients.
12. TERMINATION
Either party may terminate this Agreement at any time with or without cause. Upon termination:
- Your access to our Services will cease immediately
- We will provide you with reasonable opportunity to export your data
- All provisions that by their nature should survive termination shall remain in effect
13. DISPUTE RESOLUTION
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions.
13.2 Arbitration
Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in Wisconsin, and judgment upon the award may be entered in any court having jurisdiction.
14. MODIFICATIONS AND UPDATES
We reserve the right to modify these Terms at any time. We will provide notice of material changes through our platform or via email at least thirty (30) days before such changes take effect. Your continued use of our Services after the effective date of any modifications constitutes your acceptance of the revised Terms.
15. COMPLIANCE AND REGULATORY MATTERS
You acknowledge that your use of our Services may be subject to various legal and regulatory requirements, including but not limited to:
- State bar regulations and ethical rules
- Data protection and privacy laws (including GDPR, CCPA)
- Industry-specific compliance requirements
- Court rules regarding electronic filing and discovery
You are solely responsible for ensuring your compliance with all applicable laws and regulations.

17. SEVERABILITY
If any provision of these Terms is deemed invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it valid and enforceable.
